By creating an account, accessing, or using Magikr, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you're using Magikr on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

To use Magikr, you must:

• Be at least 13 years old (or the minimum age in your jurisdiction)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using our services under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. Account Registration and Security

3.1 Account Creation

You can create an account using:

• Email and password
• Google OAuth (single sign-on)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using a strong, unique password

3.3 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Abuse our platform or other users
• Provide false information during registration

4. Subscription Plans and Billing

4.1 Available Plans

Magikr offers several subscription tiers:

• Free Plan: Limited generation with watermarks on images
• Basic Plan: $19/month - 100 text, 50 image, 10 video generations
• Pro Plan: $49/month - 500 text, 200 image, 50 video generations
• Premium Plan: $99/month - Unlimited text/image, 200 video generations

4.2 Payment Terms

• All prices are in USD
• Subscriptions are billed monthly in advance
• Payment is due immediately upon subscription
• We accept major credit cards and payment methods via our payment processor
• Taxes may apply based on your location

4.3 Refunds and Cancellations

• 30-day money-back guarantee for first-time subscribers
• You may cancel your subscription at any time
• Upon cancellation, you retain access until the end of your billing period
• No refunds for partial months or unused generations
• Refund requests must be submitted within 30 days of initial payment

4.4 Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect. Continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use Magikr to:

• Generate original content for personal or commercial use
• Create marketing materials, social media posts, and creative works
• Produce text, images, videos, and audio content
• Edit and download your generated content

5.2 Prohibited Uses

You must NOT use Magikr to:

• Generate illegal, harmful, or offensive content
• Create deepfakes or misleading content impersonating real people
• Violate intellectual property rights
• Spread misinformation, spam, or malware
• Harass, threaten, or defame others
• Generate adult or explicit sexual content
• Create content promoting violence, hatred, or discrimination
• Attempt to reverse engineer or exploit our systems
• Share your account credentials with others
• Resell or redistribute our services
• Scrape or mine data from our platform

6. Content Ownership and Intellectual Property

6.1 Your Content

You own the content you generate using Magikr, subject to these conditions:

• Content generated on paid plans is yours to use commercially
• Free tier content includes watermarks and has limited commercial use
• You grant us a license to store and process your content to provide our services
• We may use anonymized data for service improvement and analytics

6.2 Our Platform

Magikr and all its components are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute our platform code
• Remove copyright notices or branding
• Use our trademarks without permission
• Create derivative works of our platform

6.3 AI-Generated Content

Important considerations:

• AI-generated content may have limitations under copyright law
• Multiple users may generate similar content from similar prompts
• You are responsible for verifying content doesn't infringe third-party rights
• We don't claim ownership of your AI-generated content

7. Disclaimers and Limitations of Liability

7.1 Service "As Is"

Magikr is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free service
• Accuracy or reliability of AI-generated content

7.2 Limitation of Liability

To the maximum extent permitted by law, Magikr shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount you paid in the past 12 months
• Content generated by our AI tools
• Actions taken based on AI-generated content
• Third-party services or integrations

8. Indemnification

You agree to indemnify, defend, and hold harmless Magikr, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or distribute using our platform
• Your breach of applicable laws or regulations

9. Service Availability and Modifications

We strive to maintain high availability but:

• Services may be temporarily unavailable for maintenance
• We may modify, suspend, or discontinue features at any time
• We're not liable for any interruptions or changes to services
• Generation limits may vary based on system load
• We reserve the right to implement usage caps or rate limits

10. Third-Party Services

Magikr uses third-party services (Google AI, Cloudflare, etc.). Your use of these services is subject to their respective terms and privacy policies. We're not responsible for:

• Third-party service availability or performance
• Changes to third-party APIs or pricing
• Data practices of third-party providers
• Third-party service interruptions

11. Dispute Resolution

11.1 Informal Resolution

Before filing any legal claim, you agree to contact us at support@magikr.com to attempt to resolve the dispute informally.

11.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. You waive your right to participate in class action lawsuits.

11.3 Governing Law

These Terms are governed by the laws of your jurisdiction, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the new Terms on this page
• Updating the "Last Updated" date
• Sending email notification for significant changes
• Displaying a notice on our platform

Your continued use of Magikr after changes constitutes acceptance of the new Terms. If you don't agree with the changes, you must stop using our services and may request a refund for any prepaid, unused subscription time.

13. Termination

13.1 By You

You may terminate your account at any time through your account settings or by contacting support.

13.2 By Us

We may terminate or suspend your account immediately for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of our platform or other users
• Extended inactivity

13.3 Effect of Termination

Upon termination:

• Your access to Magikr will be immediately revoked
• You may download your content within 30 days
• We may delete your data after 30 days
• Fees for the current billing period are non-refundable (except as required by law)
• Outstanding payments become immediately due

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Magikr.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.3 No Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.
